Terms of Service

Please read these Terms of Service ("Terms") carefully before using canivox.com, Canivox OS, or related services provided by Canivox Inc. ("Canivox," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
These Terms form a legally binding agreement between you and Canivox Inc.. You must be at least 18 years old and have legal authority to enter into this agreement.
If you use the Service on behalf of a business or organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.
2. Description of Service
Canivox OS is a software platform for pet-service businesses. Depending on your account configuration, the Service may include tools for Training, Board & Train, Facility Care, Boarding, Pet Care, Dog Walking, Pet Sitting, client and pet records, scheduling, communications, invoicing and payment-related workflows, client-facing experiences, reporting, automation, and AI-assisted tools.
Not every feature, module, integration, or workflow is available to every account or plan. Current availability, pricing, limits, and configuration may be described on our website, within the Service, or in an order or onboarding agreement.
We may modify, improve, suspend, or discontinue features from time to time. When a change materially affects a paid Service, we will provide notice when reasonably practicable.
3. Accounts and Security
3.1 Account Information
You agree to provide accurate, current, and complete information and to keep it updated.
3.2 Account Security
You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly at legal@canivox.com if you suspect unauthorized access or misuse.
3.3 Business and Team Access
Accounts and user seats are intended for the business, organization, or authorized users for which they were created. You may not share access with unrelated businesses or unauthorized third parties. Team access, roles, and permissions may vary by plan and configuration.
4. Subscription, Billing, and Payment
4.1 Current Plans and Pricing
Current plan pricing and available modules are described on our Pricing page or in a written quote, order, or onboarding agreement. If website pricing and a signed written agreement conflict, the signed written agreement controls.
4.2 Billing Cycle and Renewal
Unless otherwise stated in writing, paid software subscriptions are billed in advance on a monthly basis and may renew automatically until canceled. Any alternative billing term must be expressly offered and confirmed before purchase.
4.3 Trials and Promotional Offers
Canivox may offer trials, discounts, credits, or promotional terms from time to time. A trial or promotional offer applies only when it is expressly presented to you and is subject to the terms shown with that offer.
4.4 Refunds
Except where required by law or expressly stated in a written offer or agreement, subscription fees are non-refundable. Cancellation does not create a refund for time already billed.
4.5 Failed Payments
If payment is due and cannot be completed, we may limit or suspend paid access after reasonable notice while the issue is resolved.
5. Acceptable Use
You agree to use the Service lawfully and not to:
- Use the Service in violation of applicable law or regulation
- Upload or transmit unlawful, harmful, infringing, or deceptive content
- Impersonate others or misrepresent your affiliation
- Attempt unauthorized access to the Service, another account, or underlying systems
- Use scraping, automated extraction, or abusive automation without permission
- Resell or sublicense access except under an authorized Canivox agreement
- Interfere with the security, integrity, availability, or performance of the Service
- Use AI-assisted features to create unlawful, fraudulent, abusive, or rights-infringing content
6. Your Content and Business Data
6.1 Ownership
You retain ownership of content and data you submit to the Service, including business records, client information, pet information, service records, notes, documents, media, training records, care records, and communications ("Your Content").
6.2 Limited License
You grant Canivox a limited, non-exclusive license to host, store, process, transmit, display, and otherwise use Your Content only as reasonably necessary to provide, secure, support, maintain, and improve the Service and as otherwise permitted by our Privacy Policy.
6.3 Your Responsibilities
You are responsible for the accuracy and legality of Your Content and for obtaining any permissions or consents required to collect, upload, store, or share it through the Service.
7. Client, Pet, and Service Data
Businesses using Canivox may store information about clients, pets, households, services, schedules, care needs, training, billing relationships, and communications. You are responsible for determining what information your business is permitted to collect and for complying with applicable privacy, consumer, employment, and industry-specific requirements.
Where applicable, Canivox processes such information on behalf of the business customer in order to provide the Service. Additional details are provided in our Privacy Policy.
8. Intellectual Property
8.1 Canivox IP
The Service, including its software, design, workflows, branding, documentation, and underlying technology, is owned by Canivox or its licensors and protected by applicable intellectual property laws.
8.2 Feedback
If you provide suggestions or feedback, you grant Canivox the right to use that feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.
9. AI-Assisted Features
Some Canivox features may use artificial intelligence to assist with drafting, summarizing, planning, recommendations, reports, communications, or other workflow support. AI-generated output may be incomplete, inaccurate, or unsuitable for a particular situation.
- You are responsible for reviewing AI-assisted output before relying on or sharing it
- AI assistance does not replace professional judgment
- Canivox does not warrant that AI output will be accurate, complete, or appropriate for every use
- AI output is not veterinary, medical, legal, accounting, or other regulated professional advice
10. Third-Party Services
The Service may integrate with third-party providers for authentication, payments, hosting, communications, analytics, AI processing, or other functionality. Third-party services may be subject to their own terms and privacy practices, and Canivox is not responsible for services operated by third parties.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANIVOX AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, PARTNERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANIVOX'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CANIVOX DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Canivox and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Service, Your Content, your violation of these Terms, or your violation of another person's rights, to the extent permitted by law.
14. Termination and Data Access
14.1 By You
You may stop using the Service or request cancellation at any time. Paid cancellation generally takes effect at the end of the current paid period unless otherwise agreed in writing.
14.2 By Canivox
We may suspend or terminate access for material violations of these Terms, fraud, security threats, non-payment, or legal requirements, subject to notice when reasonably practicable.
14.3 After Termination
Your access may end when termination becomes effective. Data may be retained for a limited period for account recovery, legal, security, backup, or operational purposes and then deleted or de-identified in accordance with our Privacy Policy and applicable law. You should export information you need before account closure where export functionality is available.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict-of-law principles.
To the extent permitted by law, disputes arising from these Terms or the Service will be resolved through binding individual arbitration under the applicable rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. You and Canivox waive participation in class or representative proceedings to the extent such waiver is enforceable.
16. Changes to These Terms
We may update these Terms from time to time. We will revise the effective date and provide reasonable notice of material changes when required or appropriate. Continued use after the updated Terms become effective constitutes acceptance of the revised Terms.
17. General
These Terms, together with our Privacy Policy and any applicable written order or agreement, form the agreement governing your use of the Service. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent, except as permitted by law.
