Terms of Service

Please read these Terms of Service ("Terms") carefully before using canivox.com or any services provided by Canivox Inc. ("Canivox," "we," "us," or "our"). By creating an account or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Canivox Inc.. By accessing or using Canivox OS (the "Service"), you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms, and "you" refers to both you individually and that business.

2. Description of Service

Canivox OS is a software-as-a-service (SaaS) platform designed for professional dog trainers and dog training businesses. The Service includes tools for client management, dog profile management, session logging, training plan generation, invoicing, appointment scheduling, client portal functionality, AI-assisted content generation, and related features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at legal@canivox.com of any unauthorized access or suspected breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 One Account Per User

Each account is for a single trainer or training business. Sharing accounts across unrelated businesses is not permitted. Team plans allow multiple users under a single account as outlined in the applicable plan.

4. Subscription, Billing, and Payment

4.1 Plans and Pricing

Canivox OS offers free and paid subscription plans. Paid plan details, including features and pricing, are described on our Pricing page. We reserve the right to change pricing with at least 30 days' advance notice to existing subscribers.

4.2 Billing Cycle

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing cycle. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

4.3 Free Trial

We may offer a free trial period for paid plans. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. You will not be charged during the trial period.

4.4 Refunds

Subscription fees are non-refundable except as required by applicable law or as explicitly stated in a promotional offer. If you cancel a paid subscription, you retain access to paid features through the end of your current billing period.

4.5 Failed Payments

If a payment fails, we will notify you and may suspend access to paid features until payment is resolved. Accounts with outstanding balances after a grace period may be subject to termination.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Upload, transmit, or share content that is unlawful, harmful, defamatory, obscene, or that violates any third party's rights
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any part of the Service or its underlying systems
  • Use automated tools, scrapers, or bots to access or extract data from the Service without our prior written consent
  • Resell, sublicense, or provide access to the Service to third parties outside of the intended use (e.g., reselling accounts)
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
  • Use the AI features to generate content that is fraudulent, misleading, or violates the rights of any individual or organization

6. Your Content

6.1 Ownership

You retain ownership of all content, data, and information you upload, create, or store within the Service ("Your Content"), including client records, session notes, training plans, and any other materials you input.

6.2 License to Canivox

By submitting Your Content to the Service, you grant Canivox a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing and improving the Service. We do not sell Your Content to third parties.

6.3 Responsibility for Content

You are solely responsible for Your Content and for ensuring that it does not violate any applicable laws or third-party rights. You represent that you have all necessary permissions to upload and use any content you provide to the Service, including client data.

7. Client Data and Privacy

As a professional trainer, you may enter data about your clients and their dogs into the Service. You are the data controller for this information. You represent and warrant that:

  • You have obtained all necessary consents from your clients to store and process their data in a third-party platform
  • You will not enter sensitive personal data (such as health, financial, or government ID information) beyond what is reasonably necessary for dog training services
  • You will comply with all applicable privacy laws in your jurisdiction regarding the data you collect and store

Canivox OS acts as a data processor for your client data. Our handling of this data is described in detail in our Privacy Policy.

8. Intellectual Property

8.1 Canivox IP

The Service, including its software, design, features, branding, and AI models, is owned by Canivox and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Canivox's trademarks, logos, or brand elements without our prior written consent.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without any obligation to you.

9. AI-Generated Content

The Service includes AI-powered tools that generate training plans, homework sheets, client emails, and other content ("AI Content"). You understand and agree that:

  • AI Content is generated automatically and may not always be accurate, complete, or appropriate for every situation
  • You are responsible for reviewing, editing, and approving all AI Content before using it professionally or sharing it with clients
  • Canivox OS makes no warranty regarding the professional accuracy or suitability of AI Content for any specific training situation
  • AI Content does not constitute professional veterinary or behavioral advice

10. Third-Party Services

The Service integrates with third-party services (such as payment processors, authentication providers, and cloud infrastructure). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the practices of any third-party services linked to or integrated with the platform.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE AVAILABLE AT ALL TIMES, THAT IT WILL BE FREE OF ERRORS OR BUGS, OR THAT ANY ERRORS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANIVOX AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CANIVOX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless Canivox and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms, your use of the Service, Your Content, or your violation of any third party's rights.

14. Termination

14.1 By You

You may cancel your account at any time through your account settings or by contacting us at legal@canivox.com. Cancellation takes effect at the end of your current billing period for paid plans.

14.2 By Canivox

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We may also terminate accounts for non-payment after a reasonable notice period.

14.3 Effect of Termination

Upon termination, your right to access the Service ceases. We will retain your data for 30 days post-termination, after which it may be permanently deleted. You should export any data you wish to retain before your account is closed.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

You agree to resolve any disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" at the top and notify you by email or by a prominent notice within the Service at least 14 days before material changes take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the new Terms.

17. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Canivox regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision shall not be deemed a waiver of that right. You may not assign your rights under these Terms without our prior written consent.
